The terms that govern your access to and use of the Build Intel platform, the DEXTER AI system, and related services.

1. Acceptance of Terms

By accessing or using Build Intel ("the Platform"), operated by Bidding Enterprise LLC ("Company", "we", "us"), you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. SMS Communications & Opt-In

Build Intel offers an optional SMS messaging program for transactional, project-related communications. This Section 2 governs your use of, and consent to, that program. A full standalone version of these SMS terms is also published at buildintel.com/sms-terms.html and is incorporated into these Terms by reference.

2.1 Program scope.Build Intel may send SMS messages to mobile numbers provided by you (or, for accounts created by your general contractor or invitee, to numbers added with that party's representation of prior business relationship and consent). Messages are transactional only and include: Request for Quote (RFQ) notifications, bid deadline reminders, status updates on submitted quotes, account confirmations, security alerts, and service notifications. Build Intel does not use SMS for marketing.

2.2 Opt-in. You consent to receive Build Intel SMS by: (a) checking the SMS consent checkbox during account signup at bid.buildintel.com/signup; (b) checking the SMS consent checkbox on the public contact form at buildintel.com/contact.html; or (c) replying YES to a first-message opt-in confirmation when a phone number is added to the Platform by a third party. No SMS is sent before one of these opt-in events is recorded.

2.3 Frequency. Message frequency varies with your activity on the Platform. Recipients with no active projects may receive zero messages per week. Active recipients (one or more open RFQs or bids in progress) typically receive 1–5 messages per week. Frequency will not exceed 30 messages per month per recipient.

2.4 Message and data rates. Standard message and data rates from your wireless carrier may apply. Build Intel does not charge a fee for SMS messages.

2.5 Opt-out (STOP) and help (HELP). You may revoke SMS consent at any time by replying STOP to any Build Intel SMS. You will receive one final confirmation and no further messages will be sent. Replying HELP returns our support email and phone number. You may also email Khan@BiddingEnterprise.com or call +1 (718) 717-2729 at any time to be removed from the SMS program.

2.6 Carriers.Build Intel SMS is delivered through Twilio, our SMS service provider, across all major US wireless carriers (AT&T, Verizon, T-Mobile, US Cellular, MetroPCS, and others). Carriers are not liable for delayed or undelivered messages.

2.7 Data handling. Phone numbers are stored encrypted and are not sold, rented, or shared with third parties for marketing purposes. SMS opt-in records (timestamp, IP, consent text) are retained for the purpose of demonstrating compliance with TCPA, 10DLC, and toll-free carrier requirements. 2.8 Consent not required for use. Enrolling in the SMS program is optional. You may use the Build Intel Platform without consenting to SMS, and revoking SMS consent will not affect your ability to use the Platform.

Build Intel uses artificial intelligence ("DEXTER") to assist with estimating workflows. AI-generated outputs including but not limited to cost estimates, scope suggestions, bid leveling results, subcontractor recommendations, and project summaries: (a) Are generated algorithmically and may contain errors; (b) Do not constitute professional engineering, quantity surveying, or construction management advice; (c) Must be reviewed and verified by qualified professionals before use in any bid, contract, or financial decision; (d) May not reflect local building codes, union requirements, prevailing wage laws, or site-specific conditions. Company is not responsible for any losses arising from reliance on AI-generated content without independent verification.

6. User Responsibilities

Users agree to: (a) Independently verify all estimates and calculations before submitting bids or entering contracts; (b) Not rely solely on Platform outputs for any commercial or financial decision; (c) Maintain their own professional judgment in all bidding and estimating activities; (d) Ensure all data uploaded to the Platform complies with applicable confidentiality obligations; (e) Not upload third-party proprietary information without appropriate authorisation.

7. Data & Confidentiality

Users retain ownership of all data uploaded to the Platform. Company will not share user data, bid information, or subcontractor data with third parties except as required by law. User data is processed in accordance with our Privacy Policy.

Security logging.To protect your account, prevent fraud, resolve disputes, and comply with our legal obligations, Company maintains audit records of consequential actions taken in your account, including without limitation file and project deletions, user removals, role and permission changes, and account-configuration changes. Each audit record includes the time of the action, the acting user's identity, the originating IP address, and a snapshot of the affected record at the time of the action. Company may retain audit records for up to three (3) years from the date of the action, including beyond the deletion of any individual record or your account, to the extent necessary for security, compliance, or the establishment, exercise, or defense of legal claims. By using the Platform, you acknowledge and consent to this logging.

8. Subcontractor Database

The Platform's subcontractor database is provided for reference only. Company does not verify, endorse, or guarantee the accuracy, completeness, licensing status, insurance status, or quality of any subcontractor listed. Users are solely responsible for conducting their own due diligence on any subcontractor before engagement.

9. Intellectual Property

All Platform software, design, and proprietary algorithms are owned by Bidding Enterprise LLC. Users may not copy, reverse engineer, or redistribute any portion of the Platform.

10. Governing Law

These Terms are governed by the laws of the State of Illinois without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration under AAA Commercial Rules, not by jury trial.

11. Changes to Terms

Company reserves the right to modify these Terms at any time. Continued use after 30 days notice constitutes acceptance.
